whose securities accounts with Bank GPB (JSC) were credited with PJSC Gazprom shares as a result of mandatory conversion of DRs

Dear Depositors,

Bank GPB (JSC) draws your attention to the fact that when filing an application for mandatory conversion, the applicant (depositor) guaranteed that it had not applied and would not apply to foreign or Russian organizations that keep record of rights to depositary receipts for conversion of the depositary receipts specified in the application.

If, for any reason, the applicant had applied for conversion as per the ordinary procedure before or after filing the application for mandatory conversion with Bank GPB (JSC) and received PJSC Gazprom shares as a result of voluntary conversion in another depository after the application had been executed and PJSC Gazprom shares had been credited by Bank GPB (JSC), the depositor must take steps to return the extra shares received from Bank GPB (JSC) so that such double crediting is not considered unjustified gain of property (unlawful possession).

To do so, the deponent needs to submit a written request to the depository of Bank GPB (JSC) either in person or via a representative (acting on the basis of a properly executed power of attorney specifying the required powers) to any convenient office of Bank GPB (JSC) where depository services are provided.

When issuing an instruction to debit (incl. transfer) PJSC Gazprom shares, the Customer should also provide:

1. Confirmation of availability of depositary receipts issued for PJSC Gazprom shares on your account with a foreign entity (broker/depository) on or after 21 November 2022.

2. The confirmation of DRs availability may be provided in the form of an account statement (a copy thereof), or an account status report (a copy thereof), or a printed image of an electronic document confirming the account status as it appears in the Customer’s personal account on the website of the foreign broker/depository.

The document provided to Bank GPB (JSC) must contain the following:

  • information on the account owner (for individuals: last name, first name and patronymic (if available); for legal entities: name of the legal entity);
  • name of the foreign entity, which keeps record of the depositary receipts;
  • number of the account where the depositary receipts are kept record of;
  • depositary receipts ISIN;
  • depositary receipts quantity;
  • the date of issuance of the depositary receipts statement.

If you are unable to provide a document which confirms availability of depositary receipts on your account on or after 21 November 2022, you should accompany your instruction to debit (incl. transfer) PJSC Gazprom shares with a written explanation of why the said document cannot be provided, and attach supporting documents (such as correspondence with the broker about their refusal to issue a document, etc.).

3. Document confirming that you were a holder of depositary receipts, issued for PJSC Gazprom shares, before 1 March 2022, for example, securities account statements (copies thereof), broker reports (copies thereof), or purchase agreements (copies thereof).

The decision concerning the possibility of execution of an instruction for debiting (including transfer) of PJSC Gazprom shares submitted to Bank GPB (JSC) is made in compliance with the laws of the Russian Federation adopted for protection of the national interests of the Russian Federation in view of the unfriendly acts contradicting the international law performed by foreign countries and international organizations against the Russian Federation, its citizens and legal entities, including, but not limited to:

  • Executive Order of the President of the Russian Federation No. 81 dated 1 March 2022 “On Additional Temporary Economic Measures to Ensure the Financial Stability of the Russian Federation”,
  • Executive Order of the President of the Russian Federation No. 95 dated 5 March 2022  “On a Temporary Procedure for Meeting Obligations to Certain Foreign Creditors”,
  • Executive Order of the President of the Russian Federation No. 520 dated 5 August 2022 “On the Application of Special Economic Measures in the Financial, and Fuel and Energy Sectors in Connection with the Unfriendly Actions by Certain Foreign States and International Organizations”,

  • Executive Order of the President of the Russian Federation No. 618 dated 8 September 2022 “On a Special Procedure for the Execution (Implementation) of Specific Kinds of Transactions between Certain Individuals”, Executive Order of the President of the Russian Federation No. 737 dated 15 October 2022 “ On the Execution (Implementation) of Certain Kinds of Contracts (Transactions)”,
  • Executive Order of the President of the Russian Federation No. 138 dated 3 March 2023 “On Additional Temporary Economic Measures Related to Circulation of Securities” and regulations of the Bank of Russia, on condition that the Bank has the relevant documents and information confirming the absence of restrictions established by the laws of the Russian Federation adopted for protection of the national interests of the Russian Federation in view of the unfriendly acts contradicting the international law performed by foreign countries and international organizations against the Russian Federation, its citizens and legal entities, including, but not limited to the above.

If the Bank has no appropriate confirming documents, the operations of debiting (including transfer) of PJSC Gazprom shares from your securities account will be restricted in compliance with the laws and regulations of the Russian Federation and the Bank of Russia.

Documents provided to Bank GPB (JSC) may be prepared either in Russian or in a foreign language. If a document is issued in a foreign language (other than English), Bank GPB (JSC) should also be provided with a translation into Russian.

Instructions and documents should be submitted to Bank GPB (JSC) in person during a visit to the office of Bank GPB (JSC) where depository services are provided.

Filing instructions and documents with Bank GPB (JSC) and receipt of reports and statements

To file instructions or documents, or to receive reports and statements, you or your representative (acting on the basis of a properly executed power of attorney specifying the required powers) should personally visit any convenient office of Bank GPB (JSC) where depository services are provided.
